Terms of Service

1. Agreement to Terms
By accessing or using Zotley ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Service Description
Zotley is a cloud-based software platform that helps service businesses manage scheduling, invoicing, customer communication, crew operations, and business automation. Zotley provides the software tools — you run your business.
3. SaaS License and Grant of Rights
Zotley LLC grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Zotley platform solely for Customer's internal business operations during the term of Customer's active subscription. This license does not include the right to sublicense, resell, distribute, copy, modify, or make the Platform available to any third party.
4. Intellectual Property and Ownership
a) Platform Ownership: The Zotley platform, including all source code, object code, software, algorithms, user interfaces, designs, graphics, logos, trademarks, trade names, documentation, APIs, data structures, database schemas, business logic, workflow engines, AI models and integrations, automation systems, and all related intellectual property, are and shall remain the sole and exclusive property of Zotley LLC. Nothing in these Terms transfers any ownership rights to you.
b) Copyright: The Zotley platform and all its components are protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and international treaties. All rights not expressly granted herein are reserved by Zotley LLC.
c) Restrictions: You shall not, and shall not permit any third party to:
- Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or any part thereof
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of the Platform
- Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Scrape, crawl, index, or extract data or content from the Platform by automated means
- Benchmark, analyze, or publish performance comparisons of the Platform without prior written consent
- Build a competing product or service using knowledge gained from using the Platform
- Resell, redistribute, sublicense, rent, lease, or loan access to the Platform
- Use the Platform's design, workflow, UI patterns, or feature structure as a template or reference for building similar software
d) Your Data: You retain full ownership of all business data you input into the Platform, including customer records, job data, invoices, and communications. Zotley claims no ownership of your business data.
e) Feedback: If you provide suggestions, ideas, or feedback about the Platform, you grant Zotley LLC a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
f) Trademarks: “Zotley” and the Zotley logo are trademarks of Zotley LLC. You may not use these marks without prior written permission except to identify that you use the Zotley platform.
5. Accounts and Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. One tenant account per business. You must be 18 years or older to use Zotley.
6. Subscriptions and Billing
Zotley offers monthly subscription plans as listed on our pricing page. All plans are billed monthly in advance. You may cancel at any time — your access continues until the end of your current billing period. No refunds are issued for partial months. Prices may change with 30 days notice.
7. Free Trial
New accounts receive a 14-day free trial with access to Pro plan features. No credit card is required to start a trial. After the trial ends, you must select a paid plan to continue using premium features. Your data is preserved if you upgrade within 30 days of trial expiration.
8. Payment Processing
Customer payments processed through the Platform are handled by Stripe. Zotley facilitates payment processing between you and your customers but does not hold or manage funds directly. You are responsible for maintaining a valid Stripe account and complying with Stripe's terms of service.
9. AI-Powered Features
Zotley includes AI-powered features including an AI agent, automated scheduling suggestions, and content generation. AI-generated content, scheduling, estimates, recommendations, and automations may contain errors or inaccuracies. You are solely responsible for reviewing all AI-generated outputs before use, sending, or acting upon them. Zotley is not liable for decisions made based on AI-generated content.
10. SMS and Messaging
If you use Zotley's SMS and messaging features:
- You are solely responsible for compliance with all applicable SMS regulations including TCPA, CTIA guidelines, and carrier requirements.
- You must obtain proper opt-in consent from your customers before sending any text messages.
- You must honor all opt-out requests immediately. Zotley's platform automatically processes STOP requests, but ultimate compliance responsibility lies with you.
- You may not use messaging features to send spam, unsolicited messages, or promotional content without explicit consent.
- Message and data rates may apply to your customers. You must disclose this when obtaining consent.
11. Your Data and Ownership
You retain full ownership of all data you enter into the Platform, including customer information, job records, invoices, and business data. Zotley does not claim ownership of your data. You can export your data at any time. If you delete your account, your data will be permanently removed within 30 days.
12. Data Processing
By using the Platform, you grant Zotley a limited license to process your data solely for the purpose of providing the service, including AI processing, analytics, and communication delivery. We do not sell your data to third parties.
13. Prohibited Use
You may not:
- Use the Platform for any illegal purpose
- Send spam, unsolicited messages, or harassing communications
- Attempt to reverse engineer, decompile, or disassemble the Platform
- Resell, sublicense, or redistribute access to the Platform
- Scrape, crawl, or extract data from the Platform by automated means
- Interfere with or disrupt the Platform's infrastructure
- Impersonate another person or business
- Use the Platform to violate any law or regulation
- Share account credentials with unauthorized users
14. Suspension and Termination
We reserve the right to suspend or terminate your account if you violate these terms, fail to pay subscription fees, or engage in prohibited use. We will provide reasonable notice when possible. You may cancel your account at any time through the Platform.
15. Limitation of Liability
Zotley is provided “as is” without warranties of any kind, express or implied. To the maximum extent permitted by law, Zotley LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, missed appointments, or business interruption, arising from your use of the Platform. Our total liability shall not exceed the amount you paid to Zotley in the 12 months preceding the claim.
16. Indemnification
You agree to indemnify and hold harmless Zotley LLC from any claims, damages, or expenses arising from your use of the Platform, your violation of these terms, or your violation of any law or regulation, including but not limited to SMS and TCPA violations.
17. Changes to Terms
We may update these terms from time to time. We will notify you of significant changes via email at least 30 days before they take effect. Continued use of Zotley after changes constitutes acceptance of the updated terms. The version number and effective date will always be displayed at the top of this page.
18. Governing Law
These terms are governed by the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Sarasota County, Florida.
